This proposal secures the legal scaffolding required to take Cryptex Finance to the next level in best execution for these efforts.
This proposal seeks DAO approval for two strategic legal engagements:
- Advisory Agreement with Anne Marie Tierney
- Engagement Letter with Morrison Warren, Partner at Chapman and Cutler LLP
These engagements will provide product structuring expertise, regulatory clarity, and legal oversight as Cryptex Finance builds tokenized index products aligned with ever evolving US frameworks.
- Anne Marie Tierney – Strategic Advisory Agreement
Anne Marie Tierney is a senior legal and regulatory advisor with over 20 years of experience across securities law, ETF structuring, and institutional product compliance.
Previous roles include:
• Head of Strategy, Nasdaq Private Market
• General Counsel, SecondMarket (now Digital Currency Group)
• Key Counsel to GBTC, Bitwise, and several other notable listings
• Attorney at the SEC, Skadden Arps, NYSE, and NYFIX
Scope of Work:
• Monthly strategic advisory sessions with Cryptex Finance core contributors
• Regulatory guidance on Total Crypto Market Cap and future Cryptex products
• Support on distribution strategy for institutional index products
• Alignment of Cryptex Finance offerings with U.S. securities frameworks
Terms:
• 100,000 CTX vested equally over a period of 48 months (6-month cliff, monthly vesting thereafter)
• Monthly advisory participation and ad hoc availability
• Non-exclusive role
• Standard confidentiality, IP, and termination clauses
• 30-day termination notice by either party
• Option to renew beyond 4 years
- Morrison Warren – Legal Engagement Letter
Morrison Warren is a partner at Chapman and Cutler LLP, a leading law firm in digital asset regulation, tokenized funds, and 1940 Act compliance. In total, Chapman’s Investment Management Practice Group serves as fund counsel to over $350 billion in registered investment company assets under management and is responsible for the filing of over 1,500 registration statements annually.
Scope of Work:
• Structuring Cryptex’s tokenized products in compliance with the Investment Company Act of 1940
• Drafting legal disclosures and onboarding materials for institutional use
• Advising on DAO-compatible execution
• Communicating with U.S. regulatory stakeholders as needed

• $0 funding requested until work begins
• Scope may expand as product development progresses
• Chapman and Cutler will engage directly with Cryptex Finance
